Welcome to txtme.social.

These Terms of Service (“Terms”) explain the rules and conditions for using txtme.social, including our mobile application, website, e-commerce shop, B2B channels, premium features, creator features, ambassador features, and any related service we provide.

We have ensured that these Terms are presented in a simple and direct way so that you clearly and comprehensively understand your rights, responsibilities, and the rules that apply when you use txtme.social. Please note that these Terms are a legally binding agreement made between you, whether personally or on behalf of an entity, and txtme.social. We encourage you to read these Terms in full and also our Privacy Policy and Community Guidelines and Content Policy.

You agree that by accessing our services, you have read, understood, and agree to be bound by all of these Terms. If so, txtme.social grants you a non-assignable, non-exclusive, revocable and non-sublicensable licence to use the services in accordance with these Terms and our policies. If you do not agree with all of these Terms, we advise you to discontinue use of our Services.

01Who We Are

1.1. txtme.social is a European social media platform created to help people build authentic connections through real-life, offline interactions. Our goal is to provide a digital social media hub where users can connect, communicate, share memories, join communities, follow approved B2B channels, and use privacy-focused social networking features.

1.2. The txtme.social services may be operated by one or more of the following entities:

  • txtme.social B.V., which operates the native iOS and Android social media application
  • txtme.social apparel B.V., which may operate the website, homepage, future e-commerce shop, clothing brand, B2C products, and B2B clothing-related services
  • txtme.social marketing B.V., which may operate B2B client services, marketing services, B2B channels, and related products such as NFC table stands and other non-food marketing products

Together, these are referred to in these Terms as “txtme.social”, “we”, “us”, or “our”.

1.3. Our business is registered in Amsterdam, the Netherlands.

02Services Covered by these Terms

These Terms apply to your use of all txtme.social services, including:

  • The txtme.social mobile application for iOS and Android
  • User profiles
  • QR-code-based connection features
  • Location-based or offline connection features
  • The “Live Pulse” feature
  • Newsfeed and memory features
  • Photos, videos, posts, comments, captions, and similar content features
  • Direct messaging
  • Communities, groups, and channels
  • B2B channels
  • Creator and brand ambassador features
  • Premium features and subscriptions
  • The txtme.social website or homepage
  • Any future e-commerce shop operated under the txtme.social brand
  • Any other products, services, software, features, or tools we make available

We refer to all of these together as the “Platform” or the “Services”.

03Other Policies that Apply

These Terms should be read together with our:

  • Privacy Policy
  • Community Guidelines and Content Policy
  • Any payment, subscription, e-commerce, B2B, creator, ambassador, or partner terms that apply to specific services

These policies form part of your agreement with us.

04Eligibility and Minimum Age

4.1. You must be at least 16 years old to create an account and use txtme.social.

4.2. By using txtme.social, you confirm that:

  • You are at least 16 years old
  • You have the legal ability to agree to these Terms
  • The information you provide to us is accurate and up to date
  • You will use the Platform in accordance with these Terms and our Community Guidelines and Content Policy

4.3. If you are under 18, you should make sure that your parent or legal guardian is aware that you are using txtme.social. For paid features, subscriptions, or purchases, we may require additional confirmation, consent, or payment authorisation where required by law or by the app store or payment provider.

05Creating an Account

5.1. To use txtme.social, you must create an account.

5.2. When you create an account, we may ask you to provide information such as:

  • Full name
  • Email address
  • Username
  • Phone number
  • Verification information
  • Login details

5.3. You may also be able to create or access your account through Apple or Google login.

5.4. You agree to provide accurate, complete and up-to-date information. You must not create an account using false information, someone else’s identity or details that you are not authorised to use.

5.5. You are responsible for keeping your account secure. You should not share your password, login details, verification codes, account access, QR code, or account credentials with anyone else. If you believe that someone has accessed your account without permission, you should contact us immediately.

06User Profiles, Searchability, Discoverability and Connections

6.1. User accounts are not intended to be publicly searchable and discoverable in the same way as many traditional social media platforms. Depending on the features available, users may connect through:

  • Scanning another user’s QR code from their profile
  • Location-based connection features where users are in the same real-life location
  • The “Live Pulse” feature
  • Phone-number-based discovery for premium users
  • Other connection tools we may introduce

6.2. Users cannot generally search for, discover or explore other users unless:

  • They are already connected with that user
  • The user has shared an invite or signal with them
  • The user is discoverable through the relevant location-based feature
  • Another platform feature expressly allows the connection or discovery

6.3. Users may be able to disable their visibility on maps or location-based views accessed by other users, depending on the privacy and visibility settings available in the Platform.

6.4. Our location-based features are designed to support real-life matching without collecting or displaying precise location data. Instead, txtme.social may use temporary token-based verification for location-based matching. This may include a temporary platform-generated token embedded in or connected to a QR code. The token is designed to calculate distance or proximity between users, rather than to identify or store a user’s specific location.

6.5. Event search through Live Pulse may work differently depending on the type of event. Search results for events hosted by approved B2B users are not limited by geolocation, and users can search for B2B-hosted events in other locations.

6.6. Events hosted by end-users are not searchable by other end-users with whom they are not connected. User-hosted events cannot be shared with or discovered by users who are not connected to the hosting user.

6.7. You are responsible for deciding who you connect with, who you invite, who you send signals to, and what information you share with them.

6.8. QR codes, Live Pulse, location-based features, phone-number discovery, invites, signals, maps or other connection tools offered by our Platform must be used in accordance with these Terms, our Privacy Policy and our Community Guidelines and Content Policy.

07Free and Premium Features

7.1. The basic version of txtme.social may be available for free, but some features may be limited.

7.2. Premium features may include, for example:

  • Additional direct messaging functionality
  • Phone-number based discovery or connection features
  • More profile photos
  • Additional profile, connection, or memory features
  • Other features we may introduce

7.3. Premium features may be provided through subscriptions, one-time purchases, in-app purchases, or other paid models.

7.4. The exact features, prices, renewal terms, cancellation rights, and payment conditions will be shown before you purchase or subscribe. These terms and conditions may be subject to change or update from our end.

08Payments, Subscriptions, and In-app Purchases

8.1. Payments for premium features may be processed by third-party providers, including app stores, payment processors, or other payment partners.

8.2. We do not intend to permanently store your full payment card details. Payment information may be handled by the relevant payment provider.

8.3. If you purchase a subscription or paid feature through Apple, Google, or another third-party platform, your purchase may also be subject to that third party’s terms, refund rules, cancellation process, and payment policies.

8.4. You are responsible for managing, renewing or cancelling your subscriptions through the relevant app store or payment provider where applicable.

8.5. Unless otherwise required by law or stated at the time of purchase, fees already paid may be non-refundable once the paid service has started or been made available to you.

09E-commerce and physical products

9.1. txtme.social may offer a website, homepage, or future e-commerce shop under the txtme.social brand. This may include clothing, non-food products, B2C products, B2B products, marketing products, or similar items.

9.2. If you purchase physical products from us, additional e-commerce terms may apply, including terms on:

  • Product descriptions
  • Prices and taxes
  • Shipping
  • Delivery
  • Returns
  • Refunds
  • Consumer withdrawal rights
  • Faulty or damaged products
  • Payment processing

10B2B channels, creators, and brand ambassadors

10.1. txtme.social may allow approved end-users, creators, brand ambassadors, and business users to be registered as B2B users to create B2B channels, subject to the payment of a software fee to the Platform.

10.2. B2B users must apply to txtme.social and be approved before appearing on the Platform or operating a B2B channel. B2B users may not create, manage, or operate a B2B channel unless they have been authorised by txtme.social. As part of the approval process, txtme.social may conduct due diligence checks, including checks relating to:

  • The legal point of contact for the business
  • Taxation details, tax credentials, or tax registration information
  • Business registration and corporate identity
  • Business address and contact details
  • Channel or business user identity verification
  • The nature of the business, services, products, or content to be shared on the Platform
  • Whether the business, channel, or proposed content is connected to illegal, harmful, misleading, or prohibited activities
  • Any other information reasonably required to verify the business and assess whether it is suitable for the Platform

txtme.social may approve, reject, suspend, or revoke a B2B user’s authorisation at its discretion, including where the information provided is incomplete, inaccurate, misleading, unverifiable, or inconsistent with these Terms, our Community Guidelines and Content Policy, or applicable law.

10.3. B2B channels may be used to share posts, stories, brand content, community updates, or other approved content with users who choose to follow them.

10.4. Creators, B2B channels, or brand ambassadors may receive specific codes or participate in commercial arrangements with txtme.social. Any revenue-sharing, profit-sharing, premium access, ambassador benefits, or other commercial arrangement will be governed by a separate agreement.

10.5. Where a user tags, posts to, or interacts with an approved B2B channel, the B2B channel may receive a limited licence to repost and reuse that content within txtme.social, but only in its original form and only within the Platform.

10.6. This does not transfer ownership of the content to the B2B channel. Ownership of the content, including all copyright, moral rights, economic rights, and other intellectual property rights, remains with the user unless separately agreed in writing.

10.7. The B2B channel may not modify, edit, adapt, alter, commercially exploit, export, or use the content outside txtme.social unless the user has separately and expressly permitted such use. Any use of the content by the B2B channel must comply with the Community Guidelines and Content Policy, these Terms and any permissions granted by the user.

10.8. B2B channels, creators, and ambassadors must not:

  • Mislead users
  • Promote unauthorised products or services
  • Use personal accounts for unauthorised advertising
  • Collect user data without permission and proper legal basis
  • Send spam or unsolicited messages
  • Post content that violates our Community Guidelines and Content Policy
  • Misrepresent their relationship with txtme.social
  • Use analytics or user insights to identify, target, or harm individual users

10.9. txtme.social may remove or suspend B2B channels, creator accounts, ambassador accounts, or business features that violate these Terms, our Community Guidelines and Content Policy, or any applicable agreement.

11User-generated Content

11.1. txtme.social allows users to create, post, upload, send, display, and share content, which is referred to as “User Content”.

11.2. You are responsible for your User Content. You should only post content that you have created yourself or that you have permission to use.

11.3. You must not post User Content that violates these Terms, our Community Guidelines and Content Policy, someone else’s rights, or applicable law.

11.4. You retain ownership of the content you post on txtme.social, including all intellectual property rights, copyright, moral rights, economic rights, and any other rights you may hold in your content.

11.5. txtme.social does not claim ownership over your User Content.

11.6. We will not exercise rights over your User Content without your permission, except as necessary to operate, provide, secure, improve, and enforce the Platform in accordance with these Terms.

11.7. Your licences to txtme.social and to users end when you close your account or when you or we remove your content from the Platform in accordance with these Terms. We delete all not saved under “memories” within 45 days.

12Permission You Give Us to Operate the Platform

12.1. To make the Platform work, you give txtme.social limited permission to use your User Content only for platform-related purposes.

12.2. This permission is:

  • Non-exclusive, meaning you can still use and license your content elsewhere
  • Royalty-free, meaning we do not pay you for operating the Platform using your content
  • Limited to what is necessary to provide, operate, protect, and improve txtme.social
  • Sub-licensable, which allows us to license your content to others, e.g. to service providers that help us to provide the Platform or to trusted third parties that have entered into agreements with us to operate, develop and provide the Platform
  • Subject to your privacy settings and platform features
  • Revocable when you delete your content or close your account, except where retention is legally required or technically necessary for a limited period
  • Worldwide

12.3. This permission allows us to:

  • Host your content
  • Store your content
  • Display your content to users who are allowed to see it
  • Transmit your content through the Platform
  • Back up your content
  • Format or adapt your content so it works properly on different devices
  • Make your content available through the features you choose to use
  • Review your content where necessary for safety, reporting, enforcement, or legal compliance
  • Remove or restrict your content where required under these Terms or our Community Guidelines and Content Policy

12.4. This permission to use your content allows us to reproduce, adapt or make derivative works (e.g. to translate and/or create captions), perform and communicate your content to the public, for the purposes of operating, developing and providing the Platform.

12.5. We do not have permission to sell your User Content as a standalone asset.

12.6. We do not have permission to use your User Content for advertising outside the Platform unless you separately agree.

13Content shared with B2B channels

13.1. If you tag, post to, interact with, or submit content to an approved B2B channel, additional rules may apply to how that content can be used. For example, if you intentionally tag a B2B channel in a post, submit content to a B2B campaign, or interact with a branded feature, the B2B channel may be allowed to view, respond to, or use that content within the Platform, depending on the feature and any permissions you have given.

13.2. Any wider use by a B2B channel, including commercial use outside the Platform, must be based on the permissions granted by you and the applicable B2B or platform terms.

13.3. B2B channels must not misuse User Content or personal data.

14Memories and Content Deletion

14.1. txtme.social may offer a “memories” feature that allows users to save certain content.

14.2. Content that is not saved under “memories” may be deleted after 45 days.

14.3. You may delete your content where the Platform makes this available. If you delete content, close your account, or request deletion, we will handle this in accordance with these Terms and our Privacy Policy.

14.4. Some content or information may remain for a limited period where:

  • It is stored in backups
  • It is required for safety or security
  • It is connected to a report, dispute, or investigation
  • We are legally required or permitted to retain it
  • It has already been shared with other users in a way that cannot reasonably be reversed

15Our Community Guidelines and Content Policy

15.1. You must follow our Community Guidelines and Content Policy when using txtme.social.

15.2. Subject to our Community Guidelines and Content Policy, you must not post, share, send, promote, or engage in content or conduct that is:

  • Illegal
  • Pornographic or sexually explicit
  • Connected to adult-content platforms or sexual solicitation
  • Harmful to minors
  • Harassing, bullying, threatening, or abusive
  • Violent or inciting violence
  • Hateful or discriminatory
  • Fraudulent, deceptive, or misleading
  • Spam, phishing, hacking, or platform manipulation
  • Infringing intellectual property rights
  • Invasive of someone else’s privacy
  • Doxxing or non-consensual sharing of personal data
  • Unauthorised advertising or promotion
  • Promotion of products or services without an approved B2B channel
  • Harmful to the security or integrity of the Platform
  • Otherwise in breach of our Community Guidelines and Content Policy

15.3. The Community Guidelines and Content Policy provide more detailed rules and form part of these Terms.

16Unauthorised advertising and promotions

16.1. txtme.social is designed as a social hub, not as an unauthorised advertising network.

16.2. Unless approved by txtme.social or carried out through an approved B2B channel, you must not use the Platform to promote:

  • Products
  • Services
  • Businesses
  • Brands
  • Paid partnerships
  • Affiliate links
  • External profiles
  • Adult-content services
  • Commercial opportunities
  • Third-party platforms
  • Any direct or indirect paid promotion

16.3. This includes promotions where you receive money, benefits, gifts, discounts, services, or any other advantage.

16.4. We may remove unauthorised promotional content and take action against accounts that repeatedly violate this rule.

17Reporting Content and/or Conduct and User Safety Tools

17.1. Users can report content or conduct through the in-app “Report” function. Reports help us identify content and/or conduct that may violate our Terms, Community Guidelines and Content Policy, platform rules, or applicable law.

17.2. Depending on the feature, users may be able to report:

  • Posts
  • Comments
  • Profiles
  • Direct messages
  • Communities
  • B2B channels
  • Other platform activity

17.3. Reports may be submitted under categories such as:

Priority A Violations:

Violent, hateful, harmful or exploitative content or conduct

Nudity and sexual activity

Scams, fraud or spam

Priority B Violations:

False information

IP violations

17.4. Users can request the platform to enforce the following user safety tools against other users, communities or channels:

  • Block another user from contacting or interacting with them
  • Mute another user, community, or channel
  • Restrict certain interactions
  • Remove a connection
  • Limit discoverability or visibility
  • Report direct messages or unwanted contact
  • Leave or unfollow communities or B2B channels

17.5. After a report is submitted, we will review the report and respond within 72 hours. This response may include an acknowledgement of the report, a request for additional information, or an update on the action taken.

17.6. Where we consider it necessary, we may review a report on an expedited basis. This may apply, at our discretion, where the reported content is receiving significant visibility, has the potential to go viral, has received multiple user reports, may cause immediate harm, or may involve illegal content, threats, harassment, violence, child safety risks, or other serious violations of these Terms or our Community Guidelines.

17.7. You must not misuse reporting or safety tools. False, malicious, repeated, abusive or bad-faith reports may result in enforcement action, including warning, temporary restrictions, suspension or account termination.

18Moderation and Enforcement

18.1. txtme.social may review reports and take action where content or conduct violates these Terms, our Community Guidelines and Content Policy, or applicable law.

18.2. In addition to the grounds mentioned in Section 4 of our Community Guidelines and Content Policy, we can take moderation and enforcement decisions in case you commit or endorse/enable the commission of the following acts:

  • Infringing our rights or another person’s rights
  • Impersonating another person or organisation
  • Creating fake or misleading accounts
  • Selling, renting, leasing, transferring or misusing your account
  • Buying or selling accounts, usernames, QR codes or access to the Platform
  • Scraping, copying, extracting or collecting data from the Platform without permission
  • Using bots, crawlers, scripts, automation or unauthorised third-party tools
  • Uploading viruses, malware, spyware or harmful code
  • Hacking, overloading, disrupting or damaging the Platform
  • Accessing areas or systems you are not authorised to access
  • Bypassing security or moderation systems
  • Using the Platform to build a competing product
  • Misusing a QR-code, phone number or any location-based features
  • Collecting personal data from users without permission
  • Using the Platform for unauthorised advertising or commercial activity
  • Stating or implying that txtme.social endorses you or your content without permission

18.3. We may take one or more of the following actions:

  • No action, if no violation is found
  • Warning or notification
  • Request to edit or remove content
  • Content removal
  • Restriction of content visibility
  • Restriction of messaging or other features
  • Temporary suspension
  • Permanent account ban
  • Removal or suspension of B2B channels, creator features, or ambassador benefits
  • Legal action
  • Reporting serious illegal content or threats to competent authorities where legally permitted or required

18.4. txtme.social may use a strike-based system for certain violations. The approach is:

  • First Strike: content removal or demotion and a warning or notification explaining the breach and applicable policy
  • Second Strike: further warnings, potential feature restrictions (such as posting, commenting, or messaging limitations), content removal or temporary account suspension
  • Third Strike: user account would be suspended permanently, with scope of legal escalation, or reporting to authorities in case of egregious or severe violations of this Policy.

18.5. Not all Priority B Violations will automatically result in a strike. txtme.social may, depending on the nature and context of the violation, issue a warning, remove content, restrict visibility, limit features, or take other proportionate action without recording a strike.

All Priority A Violations will result in a strike. However, for Priority A Violations, txtme.social is not required to wait until a user has received three strikes before taking stronger enforcement action. Depending on the seriousness of the violation, txtme.social may immediately remove content, restrict features, temporarily suspend the account, permanently terminate the account, or take any other action permitted under these Terms and the Community Guidelines.

18.6. txtme.social does not currently use automated moderation tools to make enforcement decisions. Moderation and enforcement decisions will be conducted internally by human moderators authorised by txtme.social. If automated moderation tools or third-party moderation providers are introduced in the future, txtme.social will update this Policy or provide additional information where required.

18.7. Reports will not be outsourced to third-party moderation providers for review or decision-making. Reports may be reviewed by authorised members of the txtme.social team, including trained internal moderation officers. txtme.social will provide appropriate training to internal moderation officers on this Policy, reporting procedures, user safety, privacy, escalation processes, and applicable legal requirements.

18.8. txtme.social has been designed with safety-by-design features intended to reduce harmful, unlawful, abusive, or unwanted activity on the Platform. These features may include user reporting tools, blocking or restriction tools, privacy and visibility controls, QR-code based connection features, tokenised location-based connection limits and other safeguards built into the Platform.

Because of these safety-by-design measures, txtme.social does not generally proactively moderate, monitor, scan, or review user content or conduct to identify illegal content or violations of these Terms or our Community Guidelines and Content Policy. Moderation and enforcement review will generally be triggered only where content, conduct, accounts, channels or activity are reported by users through the Platform’s reporting tools, or brought to txtme.social’s attention by law enforcement, regulators, courts, or other competent authorities.

18.9. txtme.social acts as a neutral intermediary for user-generated content. Users remain responsible for the content they post, share, send, or otherwise make available through the Platform. txtme.social does not endorse, approve, or assume responsibility for user-generated content merely because it is available on the Platform. However, txtme.social may review, restrict, remove, or take enforcement action in relation to content or conduct where it is reported, where it becomes aware of a potential violation, or where action is required or permitted under applicable law, these Terms or our Community Guidelines and Content Policy.

19Appeals and Reinstatement

19.1. If we remove your content, restrict your account, suspend you, or ban you, you may be able to appeal the decision within 5 working days of receiving an enforcement decision, through the appeal or reinstatement process made available by txtme.social. An appeal means that you believe we made the wrong decision. A reinstatement request means that you accept that a violation occurred, have taken steps to fix it, and ask us to restore your content, features, or account.

19.2. We may uphold, reverse, or modify our original decision. Reinstatement is not guaranteed, especially for serious or repeated violations.

20Illegal Content and Conduct and Cooperation with Law Enforcement Agencies

20.1. Where txtme.social becomes aware of any illegal content or conduct, that is illegal as per any national law under the EU or any EU law, we may take steps to protect users and comply with applicable law.

20.2. This may include:

  • Removing or restricting access to content
  • Limiting the visibility or distribution of content
  • Suspending or terminating accounts involved in unlawful activity
  • Preserving relevant records, logs, and evidence for investigation purposes
  • Temporarily restricting features while an investigation is ongoing
  • Cooperating with law enforcement, courts, regulators, or other competent authorities
  • Responding to valid legal requests, such as subpoenas, court orders, or lawful data access requests
  • Reporting serious unlawful activity to authorities where legally permitted or required

20.5. While sharing your personal data with law enforcement agencies, we will handle personal data in accordance with our Privacy Policy and applicable data protection laws, where applicable. We will only share personal data with authorities where we have a valid legal basis, such as compliance with a legal obligation, protection of vital interests, or legitimate interests where permitted by law.

20.6. txtme.social exercises discretion in determining what data or information should be shared with law enforcement or other competent authorities. This may include, but not limited to, account information, phone number, email address, content or messages that are referred to in a complaint (subject to encryption limitations), transaction data, log data or location/proximity data. Such decisions are based on the nature and severity of the reported conduct, the credibility and detail of user reports, applicable legal obligations, and the potential risk of harm to individuals or the public.

20.7. We aim to balance user privacy with safety and legal obligations. Where legally allowed, we may notify affected users about requests for their data or actions taken on their accounts, unless doing so would interfere with an investigation, violate the law, or create a risk of harm.

21Privacy

21.1. Your privacy is important to txtme.social. Our Privacy Policy explains how we collect, use, store, protect, and delete personal data. Please read our Privacy Policy carefully before using the Platform.

21.2. Based on the current design of txtme.social:

  • We do not sell personal data
  • We do not use targeted advertising
  • We do not use user data to train AI models
  • We do not use recommendation algorithms for content ranking
  • We do not intend to transfer personal data internationally
  • We store personal data in Europe
  • We collect account data needed to provide the Platform
  • We may use anonymised information for B2B analytics dashboards where users follow a B2B channel
  • Payment data is handled by third-party payment providers and is not intended to be permanently stored by us

22Platform Ownership and Intellectual Property

22.1. txtme.social and its licensors own the Platform, including the app, software, design, branding, logos, trademarks, features, systems, databases, code, technology, and other materials that are not User Content.

22.2. You may not copy, modify, reverse engineer, sell, rent, scrape, extract, reproduce, distribute, or create derivative works from the Platform unless we give you written permission or the law allows it.

22.3. You must not use the txtme.social name, logo, branding, screenshots, interface, or other protected materials without our written permission, except where allowed by law.

23Availability and Changes to the Platform

23.1. We aim to keep txtme.social available and working properly, but we cannot guarantee that the Platform will always be available, uninterrupted, secure, or error-free.

23.2. We may change, suspend, limit, or discontinue any part of the Platform where necessary, including for:

  • Maintenance
  • Security
  • Legal compliance
  • Technical reasons
  • Business reasons
  • Updates or improvements
  • Misuse or safety concerns

23.3. We may also introduce, change, or remove features over time.

24Account Deletion and Termination

24.1. You may delete your account at any time through the tools available on the Platform or by contacting us where required.

24.2. When you delete your account, we will handle your data in accordance with our Privacy Policy.

24.3. Where appropriate, we will notify you before suspending or terminating your account. However, we may act without prior notice where immediate action is needed, where there is a serious violation, where there is a safety or legal risk, or where we are legally prevented from giving notice.

25User Content and Platform Content Disclaimer

25.2. We do not guarantee that User Content is:

  • Accurate
  • Complete
  • Up to date
  • Lawful
  • Non-infringing
  • Suitable for your purpose
  • Free from offensive, upsetting, or harmful material

25.3. User Content does not represent the views of txtme.social.

26Offline Interactions

26.1. txtme.social is designed to support authentic offline connections and real-life social interaction. However, users are responsible for their own decisions when meeting or interacting with others offline.

26.2. You should exercise your own discretion and take appropriate safety precautions when connecting with others, attending events, joining communities, meeting users, or using location-based features.

26.3. txtme.social is not responsible for the actions, behaviour, statements, or conduct of users outside the Platform, except where required by applicable law.

27Limitation of Liability

27.1. Nothing in these Terms limits or excludes liability where it would be unlawful to do so.

27.2. To the extent permitted by law, txtme.social is not responsible for:

  • Losses caused by your breach of these Terms
  • Losses caused by other users
  • User Content posted by other users
  • Offline interactions between users
  • Third-party services or websites
  • Unauthorised access caused by your failure to secure your account
  • Loss of data where you failed to back up your own content
  • Business losses where you use the Platform for commercial purposes without a separate written agreement

27.3. We provide the Platform with reasonable care and skill, but we do not promise that it will always be available, error-free, or suitable for every purpose.

28Your Liability To Us

28.1. If your actions cause harm to txtme.social, other users, or third parties, you may be responsible for the consequences. To the extent permitted by law, you agree to be responsible for claims, losses, costs, damages, or expenses arising from:

  • Your breach of these Terms
  • Your breach of our Community Guidelines and Content Policy
  • Your User Content
  • Your infringement of someone else’s rights
  • Your misuse of the Platform
  • Your illegal, negligent, or intentional misconduct

28.2. This does not limit any rights you may have as a consumer under applicable law. If you use txtme.social as a consumer, you may have mandatory legal rights under Dutch law, EU law, or the law of the country where you live.

28.3. Nothing in these Terms is intended to take away rights that cannot legally be excluded.

29Indemnity and General Legal Terms

29.1. To the extent permitted by law, you agree to indemnify, defend, and hold harmless txtme.social, our affiliates, officers, shareholders, employees, licensors, service providers, and agents from and against any complaints, claims, damages, losses, costs, liabilities, and expenses, including reasonable legal fees.

29.2. Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for intent, gross negligence, fraud, or any rights that cannot be excluded under applicable consumer protection law.

29.3. If any part of these Terms is found to be invalid or unenforceable, that part will be removed or limited to the minimum extent necessary, and the rest of the Terms will continue to apply.

29.4. If we do not enforce any part of these Terms immediately, this does not mean that we waive our right to enforce it later. A waiver will only be valid if we confirm it in writing.

29.5. You may be required to agree to additional terms to access certain features, products, services, subscriptions, B2B tools, creator features, ambassador programmes, or e-commerce services.

29.6. We may transfer, assign, or subcontract our rights and obligations under these Terms to another person or entity, including in connection with a merger, acquisition, restructuring, sale of assets, corporate reorganisation, or transfer of business operations. Where required by law, we will notify you of such transfer.

29.7. You may not transfer, assign, or sublicense your rights or obligations under these Terms without our prior written permission.

29.8. The section headings in these Terms are for convenience only and do not affect the interpretation of the Terms.

30Governing Law and Disputes

30.1. These Terms are governed by the laws of the Netherlands.

30.2. Where possible, we encourage users to contact us first so that we can try to resolve issues informally. If a dispute cannot be resolved informally, it may be brought before the competent courts in Amsterdam, the Netherlands, unless mandatory consumer protection laws give you the right to bring a claim in another court or jurisdiction.

30.3. If you are located in the European Union, you may also have rights under applicable EU law, including certain complaint-handling or out-of-court dispute settlement rights where applicable.
